These Terms of Use ("Terms") govern your access to and use of Xroma ("the Service"), a private event photo gallery platform operated by Chulla Life Inc. ("we", "us", "our"). By accessing or using Xroma, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
Xroma is a private photo gallery platform for events, operated as two distinct products under the same brand:
Both products share the same core infrastructure and are governed by these Terms. Both are intended for personal, private, and small-scale commercial event use.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. We will endeavour to provide reasonable notice where possible, but are not obligated to do so.
To create a Host account you must be at least 13 years of age. To make any purchase through Xroma, you must be at least 18 years of age and have the legal capacity to enter into a binding contract.
You must provide accurate, complete, and current information when registering. Registration must be performed using a permanent, personal email address. The use of temporary, disposable, or anonymising email services is not permitted and may result in immediate account rejection or termination. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Each person may hold only one free account. Creating multiple accounts to circumvent the one-event free limit constitutes abuse of the Service and may result in permanent suspension of all associated accounts without refund.
Xroma Host plans (prices in USD):
Xroma Host offers a free plan that includes one event per account for trial purposes. Additional events require purchasing event credits ($19 for one event credit; $49 for three event credits).
Xroma Venues plans (prices in EUR):
Xroma Venues does not include a free event. All events require purchasing event credits at €29 per credit. Volume discounts apply automatically at checkout: 5% off for 3 credits, 20% off for 4 or more credits purchased in a single transaction. Venue credits are consumed at event creation and are non-refundable once consumed.
Photo limits are applied per event and are enforced automatically by the Service. We reserve the right to adjust plan limits at any time for new events; changes do not affect events already created.
Credits are consumed at the moment an event is created and are non-refundable once consumed, regardless of whether the event is subsequently deleted, expires, or is unused.
Right to Cancel: Right to Cancel (UK/EU Consumer Rights): If you are a consumer based in the United Kingdom or European Union, you have a statutory right to cancel your purchase within 14 calendar days of the transaction date, provided the service has not yet been fully performed. However, by completing your purchase, you expressly request that the Service begins immediately, and you acknowledge that you will lose your right to cancel once an event credit has been consumed. If you cancel before consuming any credit, you are entitled to a full refund within 14 days.

Guests (individuals who upload photos via the event QR code without creating an account) are not party to these Terms as registered users. However, by uploading any content to Xroma as a guest, each uploader implicitly represents and warrants that:
The Host, by creating and sharing the event QR code, accepts responsibility for ensuring that guests who access the event are made aware of these requirements. Xroma acts solely as a technical intermediary and is not responsible for guest-uploaded content.
Specific notice for Xroma Venues events: Events created through the Xroma Venues product are operated by commercial venue operators (bars, nightclubs, restaurants, and similar establishments). By uploading photos to any Xroma Venues event, you acknowledge and expressly agree that:
This notice is provided in compliance with applicable data protection and image-rights legislation, including the Ley Orgánica de Protección de Datos Personales (Ecuador, 2021), the UK General Data Protection Regulation, and the EU General Data Protection Regulation, to the extent each applies to the relevant uploader.
You agree not to use Xroma to upload, store, share, or distribute content that:
We reserve the right to remove any content and suspend or permanently terminate any account that violates these rules, without prior notice and without liability. We may also report such content to relevant law enforcement authorities.
You retain full ownership of any photos or content you upload to Xroma. By uploading content, you grant Chulla Life Inc. a limited, non-exclusive, royalty-free, worldwide licence to store, copy, process, and display that content solely for the purpose of providing the Service to you. This licence terminates automatically when the content is deleted or the event expires.
Watermark — Xroma Host: On free plan events, Xroma automatically applies a small Xroma branding watermark to uploaded photos before storing them. This watermark is part of the Service delivery on the free tier and does not affect your ownership of the original content. Paid plan events do not have this watermark applied.
Photo quality: On the free plan, photos are processed on the guest's device before storage: maximum resolution of 4,096 pixels on the longest side, high-quality JPEG format. On paid plans, the original file from the device is preserved exactly as captured, with no quality loss, up to 25 MB per photo.
Watermark — Xroma Venues: All photos uploaded to Xroma Venues events have a venue-branded watermark permanently applied before storage, regardless of the credit tier. This watermark may include the venue name, instagram handle, event name, and upload date. The application of this watermark is a core feature of the Venues product and cannot be disabled. The venue operator retains the right to use watermarked photos for promotional purposes as described in Section 4. Chulla Life Inc. likewise retains the right to use watermarked photos to promote the Xroma platform.
We do not sell, licence, or share your photos or event content with any third party for marketing, advertising, or any other commercial purpose beyond those described in these Terms.
Event galleries expire automatically after the retention period applicable at the time of creation. Upon expiry, all associated photos are permanently and irreversibly deleted from our servers. You are solely responsible for downloading and retaining copies of your photos before the expiry date. Xroma accepts no liability for any loss of photos or data resulting from expiry of an event.
All payments are processed securely by Stripe, Inc. We do not store, handle, or have access to your payment card details. By making a purchase you agree to Stripe's Terms of Service. All prices are displayed in USD (Host) or EUR (Venues). Applicable taxes may be added at checkout depending on your jurisdiction. Stripe.
We aim to maintain the Service operational at all times but make no warranty of uninterrupted, error-free, or secure access. We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: acts of God, third-party infrastructure failures (including Cloudflare, Stripe, or Resend outages), internet disruptions, cyberattacks, or changes in applicable law.
To the fullest extent permitted by applicable law, Chulla Life Inc., its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including without limitation: loss of photos, loss of data, loss of revenue, or loss of business opportunity.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to Xroma in the twelve (12) months preceding the claim.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
You agree to indemnify, defend, and hold harmless Chulla Life Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) any content you upload or share via Xroma; (c) your violation of any applicable law or the rights of any third party; or (d) any claim by a guest attending your event arising from their use of the Service.
These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for resolution of any dispute arising under these Terms. If you are a consumer in the UK or EU, you retain the right to bring proceedings in the courts of your place of habitual residence.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Chulla Life Inc. to be effective.
We may update these Terms at any time. We will notify you of material changes by email (to the address associated with your account) and by displaying a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account.
