Terms of Use

These Terms of Use ("Terms") govern your access to and use of Xroma ("the Service"), a private event photo gallery platform operated by Chulla Life Inc. ("we", "us", "our"). By accessing or using Xroma, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. The Service

Xroma is a private photo gallery platform for events. Account holders ("Hosts") create events, share a unique QR code with their guests, and guests upload photos without requiring an account. The Service is intended for personal, private, and small-scale commercial event use.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. We will endeavour to provide reasonable notice where possible, but are not obligated to do so.

2. Eligibility and Accounts

To create a Host account you must be at least 13 years of age. To make any purchase through Xroma, you must be at least 18 years of age and have the legal capacity to enter into a binding contract.

You must provide accurate, complete, and current information when registering. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorised access to your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Free and Paid Plans — Credits, Purchases and Right to Cancel

Xroma offers a free plan that includes one event per account. Additional events require purchasing event credits ($19 for one event credit; $49 for three event credits).

Credits are consumed at the moment an event is created and are non-refundable once consumed, regardless of whether the event is subsequently deleted, expires, or is unused. We do not offer refunds for consumed credits under any circumstances.

Right to Cancel (UK/EU Consumer Rights): If you are a consumer based in the United Kingdom or European Union, you have a statutory right to cancel your purchase within 14 calendar days of the transaction date ("cooling-off period"), provided the service has not yet been fully performed. However, by completing your purchase, you expressly request that the Service begins immediately, and you acknowledge and accept that you will lose your right to cancel once an event credit has been consumed (i.e., once you create an event using that credit). If you cancel before consuming any credit, you are entitled to a full refund within 14 days.

Refund requests for unconsumed credits must be submitted to [email protected] within 14 calendar days of purchase. We will process eligible refunds within 14 business days.

4. Guest Uploads and Third-Party Content

Guests (individuals who upload photos via the event QR code without creating an account) are not party to these Terms as registered users. However, by uploading any content to Xroma as a guest, each uploader implicitly represents and warrants that:

  • They own or have all necessary rights and consents to share the content uploaded
  • The content does not violate any applicable law or the rights of any third party
  • They consent to the content being stored and processed as described in our Privacy Policy
  • They are at least 13 years of age

The Host, by creating and sharing the event QR code, accepts responsibility for ensuring that guests who access the event are made aware of these requirements. Xroma acts solely as a technical intermediary and is not responsible for guest-uploaded content.

5. Acceptable Use

You agree not to use Xroma to upload, store, share, or distribute content that:

  • Is illegal, defamatory, obscene, hateful, discriminatory, or harmful
  • Infringes any intellectual property, privacy, or personality rights
  • Contains nudity, sexual content, or violence
  • Depicts or exploits minors in any way
  • Contains malware, viruses, or any malicious code
  • Violates the privacy, dignity, or data protection rights of any person
  • Is uploaded without the consent of the individuals depicted

We reserve the right to remove any content and suspend or permanently terminate any account that violates these rules, without prior notice and without liability. We may also report such content to relevant law enforcement authorities.

6. Content Ownership and Licence

You retain full ownership of any photos or content you upload to Xroma. By uploading content, you grant Chulla Life Inc. a limited, non-exclusive, royalty-free, worldwide licence to store, copy, and display that content solely for the purpose of providing the Service to you. This licence terminates automatically when the content is deleted or the event expires.

We do not sell, licence, or share your photos or event content with any third party for marketing, advertising, or any other commercial purpose.

7. Data Retention and Expiry

Event galleries expire automatically after the retention period applicable at the time of creation. Upon expiry, all associated photos are permanently and irreversibly deleted from our servers. You are solely responsible for downloading and retaining copies of your photos before the expiry date. Xroma accepts no liability for any loss of photos or data resulting from expiry of an event or your failure to download within the available window.

8. Payments

All payments are processed securely by Stripe, Inc. We do not store, handle, or have access to your payment card details. By making a purchase you agree to Stripe's Terms of Service. All prices are displayed in USD. Applicable taxes may be added at checkout depending on your jurisdiction.

9. Service Availability and Force Majeure

We aim to maintain the Service operational at all times but make no warranty of uninterrupted, error-free, or secure access. We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: acts of God, third-party infrastructure failures (including Cloudflare, Stripe, or Resend outages), internet disruptions, cyberattacks, or changes in applicable law.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Chulla Life Inc., its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including without limitation: loss of photos, loss of data, loss of revenue, or loss of business opportunity.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to Xroma in the twelve (12) months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chulla Life Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) any content you upload or share via Xroma; (c) your violation of any applicable law or the rights of any third party; or (d) any claim by a guest attending your event arising from their use of the Service.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for resolution of any dispute arising under these Terms. If you are a consumer in the UK or EU, you retain the right to bring proceedings in the courts of your place of habitual residence.

13. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Chulla Life Inc. to be effective.

15. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email (to the address associated with your account) and by displaying a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account.
